Terms of Service

Undertone is provided by VINICIUS ZANDONADI, UNIPESSOAL LDA (Portugal). By creating an account or using the service you agree to these Terms and acknowledge the Privacy Policy.

Your account

• You must be at least 13 years old (16 where local law sets a higher bar) to use Undertone.
• Your account is personal. Keep access to it safe, and tell us if you believe it has been compromised.

The service

Undertone converts your speech into cleaned-up written text — in the Windows desktop app, with your account console on the web. We grant you a revocable, non-exclusive, non-transferable right to use it. Undertone is in active development (beta): features may change, and occasional rough edges are part of the deal.

AI output can be imperfect. Transcription and cleanup are performed by AI models; we make no representations about the accuracy of any output. Review anything important before you rely on it or send it.

Your content

• Your dictations are yours. You own your inputs, and to the extent we hold any rights in the generated text, we assign them to you.
• You grant us the limited license needed to operate the service — to process, store (per your consents), and transmit your content in order to provide, secure, and support Undertone.
• Your content is used to improve Undertone onlyunder the consents you control in Settings → Data & privacy. Details in the Privacy Policy.

Acceptable use

• Do not use Undertone to record or transcribe another person's speech without their consent. It is a dictation tool for your own voice, not a covert recording tool.
• No reverse engineering, no probing or disrupting the infrastructure, no circumventing metering or access controls, and no use for unlawful content or activity.
• "Unlimited" on Pro means unlimited personal dictation under fair use — not automated, scripted, or bulk processing.

Plans and billing

• The free tier includes a weekly word allowance shown in the app.
• Pro is a monthly or annual subscription that renews automatically. Purchases are processed by Stripe as merchant of record — your payment relationship, receipts, and applicable taxes are handled by Stripe at checkout. We never see your card details.
• Cancel anytime from Settings → Manage billing; Pro stays active until the end of the paid period. Statutory withdrawal and refund rights (including EU consumer rights) are honored through the payment provider.
• If prices change, we'll notify you before your next renewal with the opportunity to cancel first.

Our intellectual property

The service — its software, design, and brand — belongs to us and is protected by law. Don't copy or create derivative works from it. If you send us feedback, we may use it to improve Undertone without obligation to you.

Disclaimers and liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, AND WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, LOSS OF DATA, OR SERVICE INTERRUPTIONS. Our total liability is limited to the amount you paid us in the twelve months before a claim. None of this limits liability for intent or gross negligence, or rights that consumer law grants you and that cannot be waived.

Termination

You can stop using Undertone and delete your account and data anytime. We may suspend or terminate accounts that break these terms or create risk of harm to the service or others. Sections on content ownership, disclaimers, and liability survive termination. If we ever discontinue the service, we'll give reasonable notice and refund prepaid, unused periods.

Changes and governing law

We may update these terms; material changes will be announced in the product before they take effect, and changes are not retroactive. Continued use after the effective date constitutes acceptance. Portuguese law governs these terms, without prejudice to mandatory consumer protections of the country you live in.
